President

Term 2 years

Duties The president shall exercise general supervision and control over all activities of the corporation. He/she shall preside at all meetings of members and of the Board of Directors. He/she may sign, with another officer or staff duly authorized by the Board of Directors, any deeds, mortgages, bonds, contracts, or other instruments the execution of which has been authorized by the Board of Directors, except in cases where the signing and execution thereof shall have been expressly delegated by the Board of Directors, by these Bylaws, or by law to some other officer or agent of the corporation; and in general he/she shall perform all duties incident to the office of president and such other duties as may be prescribed by the Board of Directors.

Executive Secretary

Term 2 years

Duties The secretary shall keep the minutes of meetings of members and of the Board of Directors, in one or more books provided for that purpose; see that all notices are duly given in accordance with these Bylaws or as required by law; be custodian of the corporate records and of the seal of corporation; keep a membership records containing the names and addresses of all members and Board Members of the corporation, and with respect to any membership which has been terminated, records that fact together with the date of termination; exhibit to any Board member of the corporation, or to his/her agent, or to any person or agency authorized by law to inspect them, at all reasonable times and on demand, these Bylaws, the Articles of Incorporation, the membership record, the minutes of any meetings, and the other records of the corporation.

Executive Treasurer

Term 2 years

Duties The treasurer provides guidance, direction, and oversight of the executive director who has charge and custody of, and responsibility for all funds and securities of the corporation, receive and give receipts for moneys due and payable to the corporation from any source whatsoever, and deposit all such moneys in the name of the corporation in such banks, trust companies, or other depositories as shall be selected by the Board of Directors; and in general perform all duties incidental to the office of treasurer and such other duties as may from time to time be assigned to him/her by the president of by the Board of Directors.

Board Members

Term 3 years

Duties A Board member must meet the fiduciary duties of careful and prudent judgement, adherence to the organizational purposes, and rules and avoidance of conflict of interest. Board members shall have the overall responsibility for the organization assuring that it is functioning within its Mission Statement and the Bylaws at all times. The charge includes the direction and management of the organization including the delegation of duties, development of procedures, and assuring that decisions are carried out in the manner intended. Non-attendance at meetings me be grounds for removal.
